PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS DOCUMENT (THE “DOCUMENTATION”) OFFERED BY DIGICERT, INC. (“DIGICERT”). BY MAKING USE OF THIS DOCUMENT IN ANY MANNER, YOU (“YOU”) AGREE TO BE BOUND BY THESE TERMS TO THE EXCLUSION OF ALL OTHER TERMS. YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT; IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN ORGANIZATION OR ENTITY, REFERENCES TO “YOU” IN THIS AGREEMENT REFERS TO THAT ORGANIZATION OR ENTITY. IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE THIS DOCUMENT IN ANY MANNER.

License to Documentation. Subject to the terms and conditions of this Agreement, DigiCert hereby grants You, and You hereby accepts from DigiCert, a limited, revocable, non-exclusive, non-transferable, non-assignable and non-sublicenseable license to use the Documentation, solely as necessary for You to use the associated DigiCert software (the “Software”) in a manner consistent with this Agreement. DigiCert may terminate this license at any time and for any reason by providing you notice of termination.

Restrictions on Licenses. In addition to the restrictions set forth above, You agree that, except as otherwise expressly provided by this Agreement, You shall not: (a) exceed the scope of the licenses granted in this Section 1; (b) make copies of the Documentation; (c) sublicense, assign, delegate, rent, lease, sell, time-share or otherwise transfer the benefits of, use under, or rights to, the license granted in Section 1, and any attempt to make any such sublicense, assignment, delegation or other transfer by You shall be void and of no effect; (d) use the Documentation to reverse engineer, decompile, disassemble or otherwise attempt to learn the source code, structure or algorithms underlying the Software, except to the extent required to be permitted under applicable law; (e) modify, translate or create Derivative Works of the Documentation without the prior written consent of DigiCert; or (f) remove any copyright, trademark, patent or other proprietary notice that appears on the Documentation or copies thereof. The licenses provided by this Agreement are limited licenses, and You acknowledge that this Agreement does not grant You, and DigiCert expressly disclaims the grant of, any license, immunity, or other right to or under any patent or other intellectual property right of DigiCert, whether directly or by implication, legal or equitable estoppel, exhaustion or otherwise, except for the limited licenses expressly set forth in Section 1.

Disclaimer of Warranty. YOU ACKNOWLEDGE THAT AND AGREE THAT DIGICERT MAKES NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THE DOCUMENTATION, ITS CONTENT OR ITS CONDITION. DIGICERT HEREBY EXPRESSLY EXCLUDES, ANY AND ALL EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES, WHETHER UNDER COMMON LAW, STATUTE OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY AND ALL WARRANTIES AS TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY OR NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

Confidential Information. You hereby acknowledge and agree that the Documentation includes valuable DigiCert propriety information, and You will not disclose or otherwise share the Documentation with any third party without DigiCert’s express written authorization.

Export. The Documentation may be subject to export controls; Your re-export or transfer of the Documentation may require authorization from the U.S. government; incorporation of any information in this Documentation into foreign made items may cause those foreign made items to be subject to the U.S. Export Administration Regulations; and You are responsible for obtaining any required USG authorization for the re-export or transfer of such information in Your control and/or foreign made items that are subject to the EAR as a result of incorporating such information. You shall indemnify DigiCert from and against any liabilities, costs, fines, penalties and other expenses, including reasonable attorney fees, incurred by DigiCert as a result of Your breach of the obligations herein.

US Government Restricted Rights Legend. The Documentation is provided with restricted rights. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or in subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights clause at 48 C.F.R. 52, 227-19, as applicable.
